The terms governing the relationship between Caribridge Solutions LLC and merchants on the platform. Read carefully before applying.
This Agreement governs the relationship between Caribridge Solutions LLC and each merchant approved to list on the platform. By completing onboarding, merchants agree to these terms. Last updated April 2026.
Caribridge Solutions LLC ("Caribridge") provides a digital marketplace platform through which independent merchants may list and sell their own products and services to buyers. Caribridge is not the seller, manufacturer, or distributor of any goods or services listed by merchants.
Each merchant operates as an independent business. Nothing in this Agreement creates an employment, partnership, agency, franchise, or joint venture relationship between Caribridge and the merchant. Merchants are solely responsible for their own business operations, tax obligations, legal compliance, and liabilities.
Caribridge is the marketplace operator. The merchant is the seller. This distinction applies to all transactions, legal obligations, and customer relationships.
Caribridge does not guarantee any volume of sales, buyer traffic, or specific outcomes for merchants on the platform. Marketplace visibility and sales performance depend on many factors outside Caribridge's control.
Merchants are responsible for ensuring all product and service listings are accurate, truthful, and not misleading. This includes descriptions, pricing, availability, condition, and delivery terms. Merchants must update listings promptly when information changes.
Merchants are solely responsible for fulfilling orders placed through their storefront in accordance with the terms stated in their listings. This includes packaging, shipping, tracking, and delivery of physical goods, or provision of digital services as described.
Merchants are responsible for responding to buyer enquiries, handling post-purchase issues, and managing their customer relationships. Merchants should maintain reasonable response times and professional communication.
Each merchant must publish clear, honest policies on their storefront covering refund and return conditions, shipping methods and estimated delivery times, limitations on service availability, and applicable warranties or guarantees.
Merchants are responsible for complying with all laws applicable to their business operations, including consumer protection, trade, tax, import/export, and product safety regulations in both the merchant's jurisdiction and those of buyers they sell to.
Merchants may only list goods and services that are accurately described, legally saleable in the relevant jurisdictions, and comply with Caribridge's Acceptable Use Policy. Merchants are responsible for ensuring their listings comply with all applicable laws and third-party rights.
Merchants may not list or facilitate the sale of prohibited items as defined in the Acceptable Use Policy, which includes but is not limited to illegal goods, counterfeit products, firearms, and content that violates intellectual property rights.
Merchants may only list products they have the right to sell. Listing counterfeit goods, infringing on trademarks or copyrights, or otherwise misappropriating third-party intellectual property is grounds for immediate account termination.
Caribridge cooperates fully with verified intellectual property rights holders and will remove infringing listings promptly upon legitimate notice.
Payments from buyers are processed through Stripe, Caribridge's integrated payment provider. Merchants must connect their Stripe account during onboarding. Caribridge does not store, hold, or control merchant or buyer funds.
Merchants are subject to Stripe's terms and conditions, including its acceptable use policies, payout schedules, and fee structures. Caribridge is not a party to the merchant's agreement with Stripe.
Caribridge may charge service fees on transactions completed through the platform. Current fee rates and structures will be disclosed to merchants during the onboarding process. By continuing to use the platform after fee changes take effect, merchants accept the updated structure.
Merchants are responsible for maintaining low chargeback and dispute rates. Excessive chargebacks may result in account suspension and may affect the merchant's standing with Stripe independently of Caribridge.
Merchants must comply with all regulations applicable to their business and the transactions they conduct through the platform, including trade, consumer protection, anti-money laundering, and cross-border commerce regulations.
Know Your Customer (KYC) requirements may apply through Stripe. Merchants must provide truthful, accurate information for any required identity or business verification processes.
Providing false or misleading information in connection with identity verification is a material breach of this Agreement and grounds for immediate termination.
Merchants are responsible for ensuring their products comply with applicable export control laws and are eligible to be shipped to buyers in the destinations they accept orders from.
Caribridge reserves the right to suspend or terminate a merchant's account at its sole discretion, including for: violation of this Agreement or any Caribridge policy, listing or facilitating prohibited items, fraudulent conduct or misrepresentation, excessive disputes or chargebacks, failure to complete required verification, violation of applicable law, or any conduct harmful to the marketplace or its users.
Upon termination, the merchant's storefront and listings will be removed from the platform. Outstanding obligations to buyers — including fulfillment of pending orders and applicable refunds — remain the merchant's responsibility after termination.
Merchants may request closure of their account at any time by contacting Caribridge. Merchants must fulfil any outstanding orders before or in connection with account closure.
Merchants are solely liable for their products, services, representations, fulfillment, and customer interactions. Caribridge accepts no liability for merchant non-performance, product defects, inaccurate descriptions, or any harm caused by goods or services sold by merchants.
To the maximum extent permitted by applicable law, Caribridge's liability to any merchant is limited to the platform fees paid by that merchant in the three months preceding the relevant claim. Caribridge shall not be liable for indirect, incidental, consequential, special, or punitive damages.
Each merchant agrees to indemnify, defend, and hold harmless Caribridge Solutions LLC, its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses arising from the merchant's listings, products, or services; breach of this Agreement; violation of any applicable law; or claims by buyers or third parties related to the merchant's business on the platform.
This Merchant Agreement, together with Caribridge's Terms of Service, Privacy Policy, and Acceptable Use Policy, constitutes the entire agreement between the merchant and Caribridge with respect to the merchant's participation on the platform.
Caribridge reserves the right to amend this Agreement at any time. Amended terms will be communicated to merchants at least 30 days before taking effect. Continued use of the platform after the effective date of amendments constitutes acceptance.
This Agreement shall be governed by the laws of the State of Arizona, USA. Any formal legal proceedings not resolved through the Caribridge Dispute Resolution process shall be brought exclusively in the state or federal courts located in Maricopa County, Arizona.

By completing the merchant application and onboarding process, you agree to the terms of this Merchant Agreement and Caribridge's platform policies.
